Promotion Terms and Conditions

These Promotion Terms and Conditions (“Promo Terms”) govern all promotional offers (“Promotions”) offered by Kanurra, Inc. (“Kanurra,” “we,” “us”). Each Promotion is also subject to the additional rules set out in its own numbered section below. Where a promotion-specific section conflicts with Section 1, the promotion-specific section controls for that Promotion only.

Section 1. General rules; promotion limitations

1.1 Sponsor

Kanurra, Inc., a Delaware corporation, 131 Continental Dr, Suite 305, Newark, DE 19713. Questions regarding any Promotion may be directed to hello@kanurra.com.

1.2 No purchase or commitment necessary

No purchase, payment, subscription, contract, or commitment of any kind is necessary to participate in any Promotion or to receive any item offered under any Promotion. Participation in a Promotion does not obligate any employer, plan, plan sponsor, or individual to purchase, evaluate, select, or continue any Kanurra product or service, and does not obligate any party to take, refrain from, or influence any action or decision concerning any employee benefit plan.

1.3 Who may participate

A Promotion is open only to individuals who:

  • are of the legal age of majority in their jurisdiction of residence;
  • are employed by a United States private-sector employer that meets the eligibility criteria stated in the applicable promotion-specific section; and
  • are authorized by that employer to submit the materials or take the actions the Promotion requires.

Each participant represents that they hold that authorization at the time of submission.

1.4 Who may not participate

The following are not eligible to participate in any Promotion and may not receive any item under any Promotion:

  • Employees, officers, directors, contractors, and agents of Kanurra and its affiliates, and their immediate family members and members of their households.
  • Employees, officers, and agents of any government entity, government-controlled entity, or government-owned entity, including any federal, state, tribal, municipal, or other public employer, and any public-sector employee benefit plan.
  • Insurance brokers, benefits consultants, third-party administrators, licensed producers, general agents, and any other person or firm that advises, recommends, places, brokers, or administers employee benefit plans or pharmacy benefit services for others, and any employee or agent of such a person or firm. This exclusion applies regardless of whether the individual is also employed by an otherwise eligible employer.
  • Any individual or employer located outside the United States.
  • Any employer whose group health plan receives payment, subsidy, or reimbursement in whole or in part under a federal health care program, and any employer whose pharmacy claims are payable in whole or in part by such a program. This includes Medicare, Medicaid, TRICARE, the Federal Employees Health Benefits Program, the Retiree Drug Subsidy, and an employer group waiver plan.

1.5 Items are provided to the employer, not to an individual

Any physical item offered under a Promotion is provided to the participating employer as property of that employer. It is not compensation, a gift, or anything of value to any individual. Items are shipped to the employer’s business address and addressed to the employer’s benefits or finance department. By submitting a Promotion request, the participant acknowledges on behalf of their employer that the item is the employer’s property and that the participant claims no personal interest in it.

1.6 Employer policy affirmation

Each participant must affirmatively confirm, at the time of submission, that their employer’s policies permit the employer to accept the item described in the applicable promotion-specific section. Kanurra will not ship an item absent that confirmation.

1.7 Alternative to acceptance

A participant may decline the item at any time before shipment, for any reason or none. A participant whose employer’s policies do not permit the employer to accept the item should decline it. Where an item is declined, no item ships, no cash or substitute is provided, and nothing of value passes to the participant, the employer, or anyone they nominate. Declining has no effect on the analysis: Kanurra prepares and delivers it on the same terms either way.

1.8 Not contingent on any plan decision

No item under any Promotion is conditioned upon, and no item will be withheld on account of:

  • any purchase of Kanurra products or services;
  • attendance at any sales meeting, demonstration, or call;
  • selection of Kanurra as a vendor; or
  • any action, decision, recommendation, or duty relating to any employee benefit plan.

No item is provided as a reward for, or because of, any action, decision, or recommendation any person takes with respect to an employee benefit plan. Whether an employer qualifies is determined solely by Kanurra’s completion of the work described in the applicable promotion-specific section.

1.9 One item per employer

Unless the promotion-specific section states otherwise, an employer may receive no more than one item under all Kanurra Promotions combined in any calendar year, regardless of how many of its employees submit a request.

1.10 Fulfillment

Items ship within ten (10) business days after the qualifying condition stated in the applicable promotion-specific section is satisfied, to a United States business address supplied by the participant. Kanurra is not responsible for items that are lost, stolen, misdelivered, or damaged after delivery has been confirmed by the carrier, or for delays caused by the carrier, by an incorrect or incomplete address, or by circumstances outside Kanurra’s reasonable control.

1.11 Taxes

Kanurra does not issue a Form 1099 or any other tax reporting document to any individual participant in connection with any Promotion. The participating employer is responsible for determining and satisfying any tax, duty, or fee obligation arising from its receipt of an item. Kanurra does not provide tax advice.

1.12 No substitution

Items are not transferable and no cash or other substitution is offered, except that Kanurra reserves the right to substitute an item of equal or greater retail value if the stated item becomes unavailable.

1.13 Modification and cancellation

Kanurra reserves the right to modify, suspend, or cancel any Promotion, and to amend these Promo Terms, at any time. An amendment takes effect when the revised Promo Terms are posted to this page, and Kanurra will update the last-updated date at the top of this page when it posts a revision. Amendments apply prospectively only.

Section 1.14 is excluded from that amendment power as to materials already submitted. The version of Section 1.14 in effect on the date an employer submits materials governs Kanurra’s use, disclosure, retention, and deletion of those materials for as long as Kanurra holds them, and no later amendment reduces those commitments. The same rule applies to the Kanurra Privacy Policy incorporated by Section 1.19. If Kanurra proposes to use or disclose already-submitted materials in a way the version in effect at submission did not permit, Kanurra will notify the submitting employer at the email address that employer supplied and will not make that use or disclosure without the employer’s written consent.

Kanurra reserves the right to determine eligibility in its sole discretion and to decline any submission that it believes does not meet these Promo Terms. Kanurra shall not be liable for any loss arising out of the modification, suspension, cancellation, refusal, or withdrawal of any Promotion.

1.14 Materials you submit; the analysis we prepare

Where a Promotion requires the submission of documents or data, the following apply.

What to send. Submit only the categories of information described in the applicable promotion-specific section. Do not submit protected health information, individually identifiable health information, member names, member or subscriber identification numbers, dates of birth, addresses, Social Security numbers, or any other direct identifier unless and until a Business Associate Agreement between your employer or its group health plan and Kanurra has been executed. Kanurra does not request such information as a condition of any Promotion.

Check your own agreements first. Your existing pharmacy benefit manager, third-party administrator, or broker agreement may contain confidentiality provisions covering pricing terms, rates, or claims data. Review those provisions before submitting anything. Kanurra does not ask any participant to breach an agreement in order to participate in a Promotion, and a participant who cannot submit materials for that reason should not do so.

Use. Kanurra uses submitted materials, and the analysis Kanurra prepares from them, for three purposes and no others: to prepare and deliver that analysis to the submitting employer; to communicate with that employer about the analysis and about Kanurra’s services; and to develop and improve Kanurra’s own pricing and analytic methods. Materials used for that third purpose are first aggregated and de-identified so that they cannot reasonably be used to identify any individual, employer, or plan. Kanurra does not sell submitted materials or the analysis and does not disclose either to any third party except to a service provider acting on Kanurra’s behalf under written confidentiality obligations, where required by law, or to a successor in connection with a merger, acquisition, or sale of all or substantially all of Kanurra’s assets, in which case the successor is bound by this Section 1.14 as to those materials.

Retention and deletion. Kanurra retains submitted materials, and the analysis prepared from them, for no longer than twelve (12) months and will delete both sooner upon written request to privacy@kanurra.com. The only exception is a copy Kanurra is required to retain by law, by regulation, or by a legal hold. Kanurra will not use a copy retained on that basis for any other purpose. Kanurra may retain aggregate, de-identified information derived from submitted materials or from the analysis that cannot reasonably be used to identify any individual, employer, or plan.

Ownership. Submitted materials remain the property of the submitting employer. The analysis Kanurra prepares and delivers is provided to that employer to keep, with no obligation to Kanurra, on the terms stated in the applicable promotion-specific section.

1.15 Analyses are informational

Any analysis, report, repricing, comparison, or estimate Kanurra provides in connection with a Promotion is informational only. It is based solely on the materials submitted and on pricing benchmarks and assumptions in effect on the date of preparation. It is not a quote, a bid, a proposal, an offer of coverage or services, a guarantee of any result or saving, an audit, or legal, tax, actuarial, or fiduciary advice. Kanurra is not acting as a fiduciary to any plan in preparing it. Actual results will differ. Recipients should not rely on it as the sole basis for any decision and should consult their own advisors.

1.16 Limitation of liability

To the maximum extent permitted by law, Kanurra is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to any Promotion, and Kanurra’s total aggregate liability arising out of or relating to any Promotion shall not exceed the stated retail value of the item offered. Kanurra is not responsible for technical failures, transmission errors, human error, or any other failure outside its reasonable control.

1.17 Apple disclaimer

Apple is not a participant in or sponsor of this promotion. Apple and AirPods are trademarks of Apple Inc., registered in the U.S. and other countries. Kanurra is not affiliated with, endorsed by, or sponsored by Apple Inc.

1.18 Meta release

By participating in any Promotion offered or announced through a Meta platform, including Facebook and Instagram, you fully release and hold harmless Meta Platforms, Inc. and its affiliates from any and all liability arising out of or relating to the Promotion, and you acknowledge that the Promotion is in no way sponsored, endorsed, administered by, or associated with Meta.

1.19 Privacy

Information collected in connection with a Promotion is handled in accordance with the Kanurra Privacy Policy at kanurra.com/privacy, which is incorporated by reference.

1.20 Governing law; disputes

These Promo Terms and any dispute arising out of or relating to any Promotion are governed by the laws of the State of New York, without regard to its conflict of laws principles. The state and federal courts located in New York County, New York shall have exclusive jurisdiction, and each participant consents to personal jurisdiction and venue there.

1.21 Severability

If any provision of these Promo Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions shall remain in full force.

1.22 Void where prohibited

Each Promotion is void where prohibited or restricted by law, and in any jurisdiction where the offer or the provision of the item would violate applicable law, regulation, or professional conduct rule.

Section 2. Claims Repricing Promotion

2.1 Promotion period

The Claims Repricing Promotion begins 28 September 2026 and ends at 11:59 p.m. Eastern Time on 31 December 2026, or earlier if the limit in Section 2.8 is reached. Kanurra will remove the associated advertising when the Promotion closes.

2.2 Employer eligibility

The Claims Repricing Promotion is open only to United States private-sector employers that:

  • sponsor a self-funded or level-funded group health plan; and
  • have at least 50 and no more than 3,000 employees.

The authorized representative must confirm at submission that the plan does not receive payment, subsidy, or reimbursement under a federal health care program, as described in Section 1.4. Kanurra will not process a submission without that confirmation.

Employers sponsoring only fully insured coverage are not eligible. The exclusions in Section 1.4 apply in full, including the exclusion of government employers and of brokers, consultants, third-party administrators, and producers.

2.3 What the participant submits

To participate, an authorized representative of an eligible employer submits the materials listed below through the secure intake link Kanurra provides. Do not send claims data by email or through any form on this Website. The materials are:

  • Up to twelve (12) months of the employer’s pharmacy claims data, provided with all HIPAA identifiers removed. The fields Kanurra uses are National Drug Code, fill month and year, quantity dispensed, days supply, generic or brand indicator, pharmacy type or network indicator, ingredient cost, dispensing fee, plan paid amount, and member cost share. Do not include member names, member or subscriber identification numbers, dates of birth, addresses, exact dates of service, or any other identifier listed at 45 C.F.R. 164.514(b)(2). Full dates are deliberately excluded. Fill month and year is sufficient for the analysis, and dropping the day is what keeps the extract outside the HIPAA privacy rule, so no data use agreement or business associate agreement is needed to send it. If your plan cannot produce the file that way, write to us before sending anything and we will put a business associate agreement in place first.
  • Optionally, the compensation disclosure furnished to the plan by its pharmacy benefit manager, broker, or consultant.

Section 1.14 governs all submitted materials and the analysis prepared from them, including the instruction to review your existing agreements before submitting anything.

2.4 What Kanurra delivers

Kanurra prepares and delivers to the submitting employer a written repricing analysis of the submitted claims, identifying ingredient cost measured against published benchmark pricing, dispensing fees, administrative and other fees, network pricing differentials, and the difference between amounts charged to the plan and amounts consistent with those benchmarks. The analysis describes pricing applied to that employer’s own claims over the period submitted. It is not a rating, a review, or a statement about the business, services, or pricing of any other company generally. Kanurra provides it for the employer’s internal evaluation of its own plan, and the employer may share it with its own advisors, its plan fiduciaries, and its current and prospective service providers. It is not prepared for publication, advertising, or general distribution. The analysis is the employer’s to keep, with no obligation to Kanurra. Nothing in this Section limits the employer’s rights in its own claims data. Section 1.15 applies to the analysis.

2.5 What qualifies for the item

An employer qualifies for the item when Kanurra has completed and delivered the repricing analysis described in Section 2.4 to that employer. Qualification requires only that Kanurra receive a usable claims file from an eligible employer and complete the analysis. No meeting, call, demonstration, purchase, contract, or vendor selection is required at any point, and none will be requested as a condition of receiving the item.

2.6 What does not qualify

Submission of a lead form, contact information, or an expression of interest does not qualify. Submission of a file that Kanurra cannot process, that does not cover an eligible plan, that covers fewer than three (3) months, or that Kanurra reasonably believes to be inaccurate, fabricated, or submitted without the employer’s authorization does not qualify. Kanurra will notify the submitter where a file cannot be processed and will identify what is missing.

2.7 The item

One (1) pair of Apple AirPods 4, retail value $129 USD, shipped to the employer under Section 1.5 and on the timeline in Section 1.10. Section 1.7 provides the alternative where the item is declined or the employer’s policies do not permit acceptance.

2.8 Limit

The Claims Repricing Promotion is limited to the first twenty-five (25) qualifying employers. Kanurra will state on this page when the limit has been reached. Section 1.9 applies.

2.9 Turnaround

Kanurra targets delivery of the repricing analysis within ten (10) business days of receiving a usable file. This is a target and not a guarantee.
